Terms of Service

1. Acceptance of Terms

By accessing or using the Ceteda platform, you agree to be bound by these Terms of Service (the “Agreement”), including the associated policies: Privacy Policy, Refund Policy, Intellectual Property Complaint Policy, and other applicable terms. If you do not agree to these terms, you may not use Ceteda’s services.

2. Service Overview

Ceteda provides an automated, internet-based platform for designing and selling custom merchandise, such as t-shirts and other personalized products. Users of the platform are referred to as “Sellers.” Ceteda acts as a facilitator between Sellers and buyers, managing product production and fulfillment through third-party vendors.

3. User Obligations

Account Usage: Users must ensure their campaigns comply with all applicable laws, including intellectual property laws, and must not upload content promoting hate, violence, or illegal activities.
Content Ownership: Sellers represent and warrant they own or have proper licenses for all uploaded artwork, trademarks, or copyrighted materials.
Prohibited Activities: Sellers must not engage in fraudulent advertising, misrepresentation of products, or solicitation outside the platform’s primary purpose.

Failure to comply with these obligations may result in the suspension or termination of your account.

4. Order Fulfillment and Delivery

Production Lead Time: Orders typically take 0-6 business days to produce, with up to 9 business days in rare cases. Delivery timeframes vary:
- Domestic (US/EU): 12 business days (standard) or 6 business days (express).
- International: Up to 30 business days.
Shipping Delays: Factors such as customs processing, carrier delays, and high-volume seasons may affect delivery time. Ceteda does not guarantee delivery dates, especially for international shipments.
Lost or Stolen Shipments: Ceteda is not liable for lost or stolen shipments but will assist in resolution efforts where possible.

5. Pricing and Payments

Sellers determine the price of merchandise for their campaigns. Ceteda retains a portion of the sale as the base cost, including applicable fees. The remaining amount is credited to the Seller as “Seller Profits.”
Payments for orders must be made at the time of purchase using accepted payment methods, including Visa, Mastercard, American Express, and PayPal.

6. Refund and Cancellation Policy

Due to the custom nature of products, cancellations, exchanges, or refunds are generally not allowed unless an error occurs during production (e.g., wrong size, design, or color). Such cases must be reported within 14 days of delivery.
Refunds or replacements for lost or damaged items are handled on a case-by-case basis. Sellers must provide photographic evidence for damaged items.

7. Intellectual Property Policy

Sellers are prohibited from using Ceteda’s platform to sell merchandise that infringes on third-party intellectual property rights. Ceteda has a two-step review process to identify and remove infringing content:
1. Automated review using Google Vision API.
2. Manual review by Ceteda’s team.
Repeat violations of intellectual property rights may result in account suspension or termination.

8. Indemnification

Sellers agree to indemnify and hold Ceteda harmless from all claims, liabilities, losses, or damages arising from:

Uploaded content or campaign activity.
Violations of this Agreement or applicable laws.
Third-party claims regarding intellectual property or other rights.

9. Disclaimer of Warranties

Ceteda provides its platform “as is” and makes no guarantees regarding the performance, availability, or reliability of its services. Ceteda disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose.

10. Limitation of Liability

Ceteda is not liable for indirect, incidental, or consequential damages, including loss of profits or goodwill. In no event shall Ceteda’s total liability exceed the Seller Profits earned in the last six months or $50, whichever is greater.

11. Dispute Resolution

Governing Law: This Agreement is governed by the laws of the State of Florida, USA.
Jurisdiction: All disputes shall be resolved in the courts of Hillsborough County, Florida.
Waiver of Jury Trial: Both parties waive the right to a jury trial for any legal action related to this Agreement.

12. Miscellaneous Provisions

Severability: If any term of this Agreement is deemed invalid, the remaining terms shall remain enforceable.
Entire Agreement: This Agreement supersedes all prior agreements and representations between the parties.
Assignment: Sellers may not assign their rights without prior written consent from Ceteda.
